Terms of Service

By creating an account, purchasing a submission package, or otherwise using the BareGold service, you agree to be bound by these Terms of Service. If you do not agree, do not use the service.

Eligibility

You must be at least 18 years old and have the legal authority to bind your company (if using the service on behalf of a company) to use BareGold. The service is intended for Natural Health Product sponsors, regulatory consultants, contract manufacturers, and their authorized representatives.

Service Description

BareGold provides an AI-powered compliance analysis platform for Natural Health Products (NHPs) destined for the Canadian market. Our service analyzes product labels, matches ingredients against Health Canada monograph databases, and generates submission-format Product Licence Application (PLA) documents including bilingual EN/FR labels and ePLA packages.

No Guarantee of Approval

All documents and analyses produced by BareGold are based on publicly available regulatory data, including the Licensed Natural Health Products Database (LNHPD) and Natural Health Products Ingredients Database (NHPID). Health Canada, through its Natural and Non-prescription Health Products Directorate (NNHPD), is the sole authority that grants Natural Product Numbers (NPNs). BareGold does not guarantee that any application will be approved, and our output must not be interpreted as a guarantee of regulatory success.

User Responsibility

You are responsible for reviewing all generated documents before submitting them to Health Canada. The applicant named on the Product Licence Application is the sole responsible party for the accuracy and completeness of the submission. Because every submission is reviewed, modified, and approved by you (or your regulatory consultant) before filing, no final regulatory decision about your product is made solely by automated processing at BareGold. BareGold is an aid to document preparation, not a substitute for regulatory expertise or professional advice.

Pricing

BareGold offers a free compliance scan tier that provides a full assessment of your product label. Submission packages are priced by the pathway determined automatically during analysis:

• Monograph Pathway — $199 CAD per product. For products with full monograph coverage.
• Evidence-Based Pathway — $299 CAD per product. For products requiring additional evidence (LNHPD precedent analysis, PubMed literature). Applies to both MONOGRAPH_PLUS_EVIDENCE and FULL_EVIDENCE pathways.

Volume discounts are available: 25% off at 10+ products, 50% off at 50+ products. All prices are in Canadian dollars and are subject to applicable taxes (GST, HST, QST, or PST depending on your province).

Refund Policy

We offer a full refund within 24 hours of payment if the generated documents have not been downloaded. Once documents have been downloaded, no further refund is available under this voluntary policy. This section does not limit any statutory cancellation right you may have, including the right to cancel an internet agreement under sections 37 to 40 of the Ontario Consumer Protection Act, 2002, or the cancellation rights available to Quebec residents under sections 54.8 to 54.16 of the Consumer Protection Act (Quebec). Where a statutory cancellation right applies, refunds are processed to the original payment method within 15 days. To request a refund, contact us at info@baregold.ca with your order details.

Data Handling

Product label data you upload is processed by artificial intelligence systems, including Anthropic's Claude, to perform compliance analysis and generate documents. For full details on how your data is collected, used, stored, and transferred, including cross-border transfers to service providers outside Canada, please refer to our Privacy Policy.

Intellectual Property

Documents generated by BareGold may contain regulatory data sourced from Health Canada publications, which remain subject to Crown copyright under the Copyright Act (Canada) and Health Canada's terms of use for the LNHPD and NHPID. Subject to those underlying rights, BareGold grants you a perpetual, royalty-free, worldwide licence to use, modify, and submit the generated documents for the purpose of Product Licence Applications and ongoing regulatory compliance of your products. BareGold retains no rights in your original input data, product formulations, or company-specific information. BareGold's software, brand, trade marks, and the arrangement and presentation of the service remain our property.

No Warranty

THE SERVICE AND ALL CONTENT, ANALYSES, AND DOCUMENTS GENERATED BY BAREGOLD ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR REGULATORY ACCEPTABILITY. To the extent any implied warranty cannot be disclaimed under applicable consumer protection law (including the Ontario Consumer Protection Act, 2002 and the Consumer Protection Act (Quebec)), such warranty is limited to the minimum duration and scope required by that law.

Limitation of Liability

BareGold is not liable for rejected applications, regulatory penalties, delays in approval, product recalls, consumer harm, enforcement action by any regulator, or any other direct or indirect consequence arising from the use of our service or from the submission of any product to Health Canada or to market. To the maximum extent permitted by applicable law, BareGold shall not be liable for any indirect, consequential, special, incidental, punitive, or exemplary damages, even if we have been advised of the possibility of such damages. Our aggregate liability for any claim is limited to the amount you paid BareGold for the specific service giving rise to the claim in the twelve months preceding the event. Nothing in this section limits any liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence, wilful misconduct, death or personal injury caused by negligence, or, for Quebec residents, the limitations on contractual disclaimers under article 1474 of the Civil Code of Québec and section 10 of the Consumer Protection Act (Quebec).

Your Indemnification of BareGold

You agree to indemnify, defend, and hold harmless BareGold, its directors, officers, employees, and agents from and against any third-party claims, damages, losses, costs (including reasonable legal fees), and liabilities arising from or related to: (a) your breach of these Terms; (b) any content you submit that infringes third-party rights or contains inaccurate, incomplete, or misleading information; (c) any product placed on the market in reliance on analyses or documents generated by BareGold; (d) any misrepresentation you make to Health Canada, Canadian Food Inspection Agency, a provincial regulator, or any other authority using documents generated by BareGold; or (e) your violation of any law. BareGold may, at its discretion, assume the exclusive defence and control of any matter subject to indemnification, in which case you shall cooperate in good faith with our defence.

Account Termination

You may close your account at any time by contacting us at info@baregold.ca; upon closure, you remain entitled to any statutory refund and to export your previously generated documents for a reasonable period. BareGold may suspend or terminate accounts that abuse the service, including automated scraping, circumvention of rate limits or security measures, reverse engineering of the analysis pipeline, reselling generated documents as a competing service, or any use that violates applicable law. Where termination is for a reason other than abuse or legal violation, we will give you 30 days notice and a pro-rated refund of any unused prepaid services.

Changes to Terms

We may update these Terms of Service from time to time. For material changes, we will notify you at least 30 days in advance via the email address associated with your account and by displaying an in-service notice on your next login. If you do not agree to the updated Terms, you may close your account before the effective date and receive a pro-rated refund for any unused prepaid services. If you continue to use the service after the effective date, you are deemed to have accepted the updated Terms. For non-material changes (typographical corrections, clarifications that do not reduce your rights), we may update these Terms without advance notice.

Force Majeure

Neither party is liable for any delay or failure to perform its obligations under these Terms to the extent caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, pandemic, labour disputes, government action, internet or telecommunications failures, or outages of third-party infrastructure on which BareGold relies (such as Anthropic, Stripe, Neon, Vercel, or Railway). The affected party will use reasonable efforts to resume performance as soon as practicable.

Assignment

BareGold may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, reorganization, financing, or sale of assets, with notice to you. You may not assign these Terms without our prior written consent. Any unauthorized assignment is void.

Severability

If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions remain in full force and effect. The invalid or unenforceable provision will be deemed modified to the minimum extent necessary to make it valid and enforceable; if no such modification is possible, the provision will be severed.

Entire Agreement

These Terms, together with our Privacy Policy and any order confirmations issued at the time of purchase, constitute the entire agreement between you and BareGold concerning the service, and supersede all prior or contemporaneous communications, proposals, or representations, whether oral or written. No waiver of any provision of these Terms is effective unless in writing and signed by BareGold.

Notices

Legal notices to BareGold must be sent to info@baregold.ca with the subject line "Legal Notice," and (for formal service where required by law) by registered mail to the address shown in our Contact section. We will provide notices to you at the email address associated with your account; it is your responsibility to keep that address current.

Email Communications (CASL)

BareGold sends transactional messages (account confirmations, security alerts, payment receipts, analysis-complete notifications) based on your account relationship with us, as permitted under Canada's Anti-Spam Legislation (CASL). We will only send marketing messages with your express consent. Every commercial electronic message we send includes a functional unsubscribe mechanism that remains valid for at least 60 days and the sender identification required by CASL.

Governing Law and Forum

These Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The parties agree to the exclusive jurisdiction of the Superior Court of Justice of Ontario sitting in Barrie (County of Simcoe) for any dispute arising out of or relating to these Terms, subject to the paragraph below. If you are a consumer resident in Quebec, the mandatory provisions of Quebec law, including the Consumer Protection Act (Quebec), the Civil Code of Québec (notably article 3149), and the Act respecting the protection of personal information in the private sector (as amended, commonly known as Law 25), continue to apply despite the foregoing choice of law, and you retain the right to bring proceedings before the courts of Quebec.

Languages

These Terms are available in English and in French and were provided to you in both languages before you agreed to them. For consumers resident in Quebec, in accordance with section 55 of the Charter of the French Language, the French version prevails in the event of any inconsistency of interpretation. For all other users, the English and French versions have equal legal force.
